1. Introduction
These Membership Terms and Conditions (“Terms”) govern your Corporate Membership of the Agile Business Consortium (“Membership”). By signing up to Corporate Membership, you agree to abide by these Terms.
Agile Business Consortium Limited is a company limited by guarantee (reg no: 03030597) whose registered office is at Regus Ashford The Panorama, Park Street, Ashford, Kent, England, TN24 8EZ (“Consortium”, “we”, “us” and “our”).
2. Membership Eligibility
The Consortium are defining Corporate Membership in the following terms:
- Corporate Membership is available exclusively to registered businesses, organizations, and institutions.
- The number of Membership licenses available to employees as part of the Corporate Membership will be confirmed in writing at the time of the order. Employees outside of that allocated number do not have access to the Membership benefits unless additional licenses are purchased.
- Each individual Membership license belongs to the registered business stated on this agreement.
- Should an individual leave the company, the Membership license will be available to another employee.
- Professional Status is non-transferable, where a Membership license is transferred to a new employee, Professional Status will need to be applied for and will incur additional fees.
- Proof of company registration may be requested
- We reserve the right to approve or deny Corporate Membership applications at our sole discretion.
Corporate Associate Member Status:
As a Corporate Associate Member, the named employees allocated a license will be entitled to have access to selected content, online learning, offerings and member only events via our online Membership portal. To become a Corporate Associate Member, the employee will be required to set up a profile. Any personal data will be processed in accordance with our Privacy Statement. We will require the location of the individual Corporate Associate Members for tax and accounting purposes.
Professional Membership Status:
As a Corporate Professional Member, named employees allocated a license will be entitled to have access to selected content, online learning, offerings and member only events via our online Membership portal. To become a Corporate Professional Member, the employee will be required to set up a profile. Any personal data will be processed in accordance with our Privacy Statement. We will require the location of the individual Corporate Professional Members for tax and accounting purposes.
Membership does not entitle an employee to active Professional Status and should they wish to apply for this, additional fees will be applicable.
Corporate Professional Members are formal Members of the Consortium and as such have voting rights at General Meetings of the Consortium. Corporate Professional Membership is a prerequisite for any individual wishing to stand for election to the Consortium Board of Directors. Corporate Professional Members agree to be bound by the Articles and Memorandum of Association of the Consortium. Corporate Professional Members agree to guarantee the Consortium up to a maximum of £1.00 (one pound).
Online Professional Assessment Process:
To gain Professional Membership status, applicants must complete the online assessment process and pay a one-off assessment fee.
For Professional Membership Levels 3 (Master), 4 (Catalyst) and 5 (Thought Leader) interviews are required, and will be virtual using Microsoft Teams. These interviews are recorded for the safety of both Applicant and Assessor. These recordings are deleted after 120 days. In the event of an appeal, another Assessor will review the recording. Any Appeals or disputes need to be raised within 120 days of the interview date.
If applying for Professional Status as par interview, you are required to pay the assessment fee again, this is to cover the administrative and assessor costs. Interviews can be rearranged at no cost with at least 5 days’ notice If you do not provide minimum of 5 days’ notice you will be treated as a missed Interview and will be charged again for the assessment.
Assessors have the right to request more information to support and verify the application. If you are unable to resubmit additional information within 6 months, you will automatically be awarded Professional Membership Level 1.
For Professional Membership Levels 3 (Master), 4 (Catalyst) and 5 (Thought Leader), any additional information requested must be submitted at least 3 days before the professional interview.
Professional Members agree to Continued Professional Development (CPD) and will be required to provide evidence every two years. Please refer to the Consortium’s CPD Policy.
3. Membership Fees and Payment
- Membership fees for Corporate Members will start on the 1st of day of the calendar month, after the booking form has been signed. If required sooner, the Membership will start a minimum of 5 days from receiving the signed booking form.
- Membership fees for Corporate Membership are due on an annual basis and are non-refundable.
- Fees must be paid in full within 30 days of invoice issue. All prices are exclusive of applicable taxes (e.g., VAT). Payment terms of over 30 days may have an effect on the date that the Membership will start.
- Failure to pay Membership fees may result in suspension or termination of Membership.
- Each subscription term shall be 12 months (“Subscription Period”) and the minimum length of Membership is one Subscription Period.
- The Consortium reserves the right to alter the Membership fees from time to time and would notify Corporate Members of changes in advance of renewal of a Subscription Period. Any price increase would take effect upon renewal of the subscription term.
- In addition to the Membership fee - Professional Membership requires an Assessment payment, this is one-off payment on joining, or if a member chooses to be assessed at the next higher level.
4. Membership Renewal
Corporate Membership will automatically renew at the end of each Subscription Period unless cancelled with not less than 30 days’ notice before the end of the relevant Subscription Period.
The Corporate Membership fee will be automatically charged to your designated payment method on the Corporate Membership renewal date at the current Corporate Membership rate.
You may cancel your Corporate Membership renewal at any time by contacting your Account Manager and providing not less than 30 days’ notice of your cancellation prior to the end of the current Subscription Period. Your cancellation will then take effect at the end of your current Subscription Period.
Cancellations must be made note less than 30 days’ before the renewal date for the next Subscription Period to avoid being charged.
Upon renewal, your Membership will be extended for an additional Subscription Period (12 months).
5. Membership Termination
We reserve the right to terminate a Corporate Membership due to non-compliance with these Terms or any Corporate Member conduct which we consider (acting reasonably) to be inappropriate.
Any misuse of Corporate Membership privileges may result in termination.
Professional Corporate Members are responsible for keeping their Continuous Professional Development (CPD) up to date, if after 2 years there is insufficient or no evidence regarding the Member’s CPD, the Member will lose their Professional Membership status.
If a Professional Member is unable to maintain their CPD and after 2 years loses their Professional Membership status, they will then need to reapply and pay any associated fees. If a Professional Member has completed their CPD requirements, then they can simply renew, without any additional application charges.
6. Member Responsibilities
Corporate Members must adhere to the Code of Practice set by the Consortium.
Our Code of Practice can be summarised in the following points:
- Act in the best interests of the Consortium, its Members, Partners and Associates.
- Show respect for all
- Positively impact society
- Demonstrate open, honest, and trustworthy behaviours
- Develop knowledge and competence with CPD
- Uphold values and reputation with The Consortium
You may only use our Corporate Membership services, including the Site and the Membership portal for lawful purposes.
You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our Site or our Membership portal or any services provided via, or in relation to, either of these, for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).

These Membership benefits are subject to change at our discretion and without notice.
8. Corporate Membership Onboarding

The Organisation is responsible for providing the first name, last name, email and country location for all employees being enrolled in the Corporate Membership subscription. The Organisation is responsible for providing this information in way that is GDPR compliant and poses not risk to employees personal information.
The Agile Business Consortium is not responsible for delays in the start of the Membership if the employee information is not provided by the date the Membership is due to start.
9. Website Access and Security
Corporate Members must not attempt to bypass security measures or disrupt the Consortium websites and Membership portal. Any log-on credentials and passwords to our Site and/or Membership portal must be kept confidential and not shared with third parties. We have the right to disable any log-on credentials or passwords, whether
chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.
You are responsible for configuring your information technology, computer programmes and platform to access our Site and Membership portal (as applicable). You should use your own virus protection software.
Access to our Site and our Membership portal (as applicable) terminates if Membership is not renewed. Our Site and Membership portal are provided on an “as is” basis and we do not guarantee that either, or any content on either, will always be available and uninterrupted. Although we make reasonable efforts to update the information on our Site and Membership portal, we make no representations, warranties or guarantees, whether express or implied, that the content on either is accurate, complete or up to date.
We may suspend or withdraw or restrict the availability of all or any part of our Site or Membership portal for business and operational reasons.
We do not guarantee that our Site and Membership portal will be secure or free from bugs or viruses. You must not misuse either by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Site and/or Membership portal, the server on which either is stored or any server, computer or database connected to either. You must not attack either via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990 and your right to use our Site and Membership portal will cease immediately.
10. Intellectual Property - Publications, Resources, Website and Online Learning Experience Platform (“LXP”)
All content, training materials, guidance, information and resources provided as part of the Consortium website and Membership portal along with any other Consortium publications or resources (“Consortium Materials”) are for personal use only. The Consortium Materials are provided for general information only and are not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the Consortium Materials.
Members must not share, distribute, reproduce, or commercially exploit any Consortium Materials without written consent.
Breach of this policy may result in Membership termination and legal action.
Members must not share, distribute, or publish any Consortium Materials to third parties without obtaining our prior written permission.
Unless stated otherwise, Consortium owns or is licensed to use all copyrights and intellectual property rights in the Consortium Materials. This includes, but is not limited to, design, layout, graphics, documents, articles, and other text content. All such rights are reserved.
Links to third-party websites and resources are provided for informational purposes only, and the Consortium has no control over their content. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. You should refer to any third party's website terms and conditions and privacy policy prior to using any third-party website.
Requests for commercial use of Consortium Materials must be submitted in writing via email to [email protected] and require our written approval before use.
11. Privacy and Data Protection
We value your privacy and handle personal information in accordance with our Privacy Statement.
Your data will not be shared without consent, except as required by law.
12. Changes to Terms
We reserve the right to modify these Terms at any time. A copy of the latest version of these Terms shall be posted on our Site. Members will be notified of significant changes in advance.
13. Limitation of Liability
Nothing in these Terms excludes our liability for death or personal injury caused by negligence or fraud or fraudulent misrepresentation. Subject to this, we shall not be liable for:
- Loss of profits, sales, business or revenue;
- Business interruption;
- Loss of anticipated savings;
- Loss of business opportunity, goodwill or reputation; or
- Any indirect or consequential losses.
and our total aggregate liability to you howsoever arising in connection with your Corporate Membership and our services shall be limited to the [greater of the Membership fees paid during the 12 months immediately preceding the date on which the claim arose or £100.
We exclude all implied conditions, warranties, representations or other terms that may apply to our Membership services and to the Consortium Materials.
Membership is for personal professional development and not for resale or commercial purposes.
14. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales and the courts of England and Wales will have exclusive jurisdiction to settle any claim or matter arising under or in relation to these Terms.
