1. Introduction 

These Membership Terms and Conditions (“Terms”) govern your membership of the Agile Business Consortium (“Membership”). By signing up to Membership, you agree to abide by these Terms.

Agile Business Consortium Limited is a company limited by guarantee (reg no: 03030597) whose registered office is at Regus Ashford The Panorama, Park Street, Ashford, Kent, England, TN24 8EZ (“Consortium”, “we”, “us” and “our”).

2. Eligibility  

Members are entitled to access selected content, learning resources, events and member services via the Membership portal. Membership is provided on an annual subscription basis. Standard Membership does not confer voting rights at General Meetings or Annual General Meetings (AGMs) of the Consortium. Voting rights are reserved solely for eligible Professional Members in accordance with the Articles of Association.

Professional Membership Status
As of November 2025, Professional Membership has been retired and is no longer open to new applicants. Professional Membership is now only available to individuals who held Professional Membership immediately prior to the retirement of the category and who have maintained continuous membership thereafter, unless otherwise approved by the Consortium Board in exceptional circumstances.

Existing Professional Members, including Lifetime Professional Members, retain the rights set out in the Consortium’s Articles of Association, including the right to vote at General Meetings and Annual General Meetings (AGMs).

Professional Membership will remain valid for the period of the member’s current paid membership and subject to compliance with these Terms and the Articles of Association.

Lifetime Professional Members will retain Professional Membership for as long as the Consortium exists unless terminated in accordance with these Terms or the Articles of Association.

Eligibility to stand for election to the Consortium Board of Directors shall be determined in accordance with the Articles of Association and any governance policies adopted by the Consortium from time to time.

Professional Members agree to comply with these Terms, the Consortium’s Code of Practice, the Articles of Association and any governance or election rules published by the Consortium from time to time. A current copy of the Articles of Association will be made available on the Consortium website.

As the Consortium is a company limited by guarantee, each Professional Member agrees to contribute up to £1 towards the Consortium’s liabilities if the Consortium is wound up while they are a member, or within one year of their membership ending.

Membership is personal to the Member and may not be transferred, assigned or shared with any other individual or organization.

3. Membership Fees and Payment 

Membership fees are payable annually and are non-refundable, subject to any applicable cooling-off rights.

Where a Member is categorised as a consumer under applicable consumer protection legislation, that Member would have a legal right to change their mind about purchasing a Membership and to receive a refund of what they have paid for that Membership. That right must be exercised within 14 days from the date of payment for the Membership. However, the right to change your mind does not apply if any exclusive digital content, events or member-only resources have been accessed during this period..

Payment must be made using the payment methods listed on the Site.

Members must:

  • be aged 18 or over; and
  • have permission to use the payment card or payment method provided.

Failure to pay Membership fees may result in suspension or termination of Membership.

Each Membership subscription period is 12 months (“Subscription Period”).

The Consortium reserves the right to amend Membership fees from time to time and will provide reasonable notice before any fee changes take effect upon renewal.

All current Membership fees are available on the Site.

Recurring Card Payments
Where recurring card payments are selected, Membership subscriptions will renew automatically each year using the payment card provided at the time of purchase unless cancelled in accordance with these Terms.

Membership fees will be charged automatically on or around the renewal date using the saved payment method.

If payment cannot be processed, the Consortium may suspend or terminate Membership until payment is successfully received. The Consortium may also request an alternative payment method.

Members are responsible for ensuring payment details remain accurate and up to date.

Nothing in these Terms affects your statutory rights under applicable consumer protection law.

4. Membership Renewal 

Membership will automatically renew at the end of each Subscription Period unless cancelled with at least 30 days’ notice prior to renewal.

Membership fees will be charged automatically using the selected payment method at the applicable renewal rate.

If payment cannot be processed, Membership may be suspended until payment is received.

Members are responsible for ensuring their payment information and contact details remain up to date.

Membership renewal may be cancelled at any time by contacting [email protected] with at least 30 days’ notice before renewal.

Members may also terminate their Membership at any time by contacting [email protected]. Membership will continue until the end of the current Subscription Period. Fees already paid are non-refundable except where required by law

Upon renewal, Membership will continue for a further 12-month Subscription Period.

5. Membership Termination

The Consortium reserves the right to suspend or terminate Membership where:

  • these Terms are breached;
  • Membership fees remain unpaid; or
  • a Member acts in a way which may reasonably be considered damaging to the reputation, interests or operations of the Consortium.

Where reasonably practicable, the Consortium will provide notice and an opportunity to respond before termination takes effect.

Termination of Membership will not affect any rights or obligations accrued before termination.

6. Member Responsibilities

Members must comply with the Consortium’s Code of Practice.

Members may only use the Site, Membership portal and related services for lawful purposes.

Members must not conduct, facilitate or permit any text or data mining, scraping or automated extraction of content from the Site or Membership portal for any purpose, including the training or development of AI systems or models.

Members are expected to:

  • act in the best interests of the Consortium;
  • show respect for others;
  • act honestly and professionally;
  • uphold the reputation and values of the Consortium; and
  • maintain professional knowledge and competence.

7. Membership Benefits 

Membership benefits may vary depending on Membership category and may include:

  • online learning resources;
  • events and webinars;
  • community access;
  • tools and assessments; and
  • discounts or special offers.

Membership benefits may be amended or withdrawn from time to time. Where reasonably practicable, the Consortium will provide notice of material changes.

8. Website Access and Security 

Members must keep login credentials confidential and must not attempt to bypass security measures or disrupt the operation of the Site or Membership portal.

The Consortium may suspend or disable access credentials where these Terms are breached.

The Site and Membership portal are provided on an “as is” basis. The Consortium does not guarantee uninterrupted availability, accuracy or freedom from errors, viruses or harmful components.

Members are responsible for maintaining appropriate security and virus protection on their own systems.

9. Intellectual Property

All Consortium Materials, including publications, training materials, resources, learning content and website content, are owned by or licensed to the Consortium and are provided for personal professional development purposes only.

Consortium Materials are provided for general professional and educational purposes only and should not be relied upon as legal, financial, regulatory or professional advice.

Members must not reproduce, distribute, share, publish or commercially exploit Consortium Materials without prior written consent.

Unauthorised use of Consortium Materials may result in suspension or termination of Membership and may lead to legal action.

10. Privacy and Data Protection   

The Consortium processes personal data in accordance with applicable data protection legislation and the Consortium Privacy Statement.

Personal data will not be shared except where required by law or necessary for Membership administration and governance purposes.

11. Changes to Terms    

The Consortium may amend these Terms from time to time.

The latest version of the Terms will be published on the Site. Where changes are material, the Consortium will provide reasonable advance notice.

12. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability which cannot lawfully be excluded.

Subject to applicable law, the Consortium shall not be liable for:

  • loss of profits, revenue or business opportunity;
  • loss of anticipated savings;
  • reputational damage;
  • business interruption; or
  • indirect or consequential loss.

The Consortium’s total aggregate liability arising out of or in connection with Membership, the Membership portal, Consortium Materials or related services shall not exceed the greater of:
(a) the total Membership fees paid during the 12 months preceding the claim; or
(b) £100.

The Consortium excludes all implied warranties, conditions and representations to the fullest extent permitted by law. 

13. General 

These Terms constitute the entire agreement between the parties relating to Membership and supersede prior discussions or understandings.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

The Consortium shall not be liable for any failure or delay caused by circumstances beyond its reasonable control.

The Consortium does not guarantee uninterrupted access to digital platforms, learning systems or virtual events.

The Consortium reserves the right to review, amend or retire Membership categories, governance arrangements and voting structures in accordance with the Articles of Association and applicable law.

These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction.
